Terms of Use
Effective Date: January 1, 2026
COMPANY INFORMATION
Pergo Centro is the trade name and operating brand of Pergo Management LLC, a Colorado limited liability
company. Throughout these Terms of Service, the terms “Pergo Centro,” “Company,” “we,” “our,” and “us” refer to
Pergo Management LLC DBA Pergo Centro.
All orders, invoices, contracts, payments, warranties, and related transactions are entered into with Pergo
Management LLC DBA Pergo Centro.
ACCEPTANCE OF TERMS
By submitting a deposit, approving a quote, executing an agreement, placing an order, accepting delivery, or
otherwise purchasing products from Pergo Centro, the customer agrees to be bound by these Terms of Service.
PRODUCTS AND CUSTOM MANUFACTURING
Pergo Centro supplies custom-manufactured outdoor living products, including but not limited to:
• Bioclimatic pergolas
• Outdoor room systems
• Retractable roof systems
• Screens
• Glass systems
• Awnings
• Accessories and related components
Due to the custom nature of these products, dimensions, finishes, engineering requirements, and configurations
are produced specifically for each order.
QUOTES AND PRICING
All quotations are valid for thirty (30) days unless otherwise stated in writing.
Pricing may be adjusted due to:
• Manufacturer price increases
• Material cost increases
• Tariffs
• Duties
• Freight increases
• Currency fluctuations
• Engineering changes
Quotes are not binding until accepted by both parties.
PAYMENT TERMS
Unless otherwise agreed in writing:
• 50% deposit required to initiate production.
• Remaining 50% balance due prior to shipment.
• Freight, duties, tariffs, taxes, and related charges are due prior to shipment.
• Products will not be released until all balances are paid in full.
Past due balances may accrue interest at the lesser of:
• 2% per month, or
• The maximum amount permitted by law.
The customer agrees to pay all reasonable collection costs, attorney fees, and expenses incurred in collecting
unpaid balances.
Pergo Centro reserves the right to suspend production, shipment, warranty service, future orders, and account
privileges for any account with outstanding balances.
GOVERNING LAW, VENUE AND ATTORNEY FEES
These Terms of Service and all transactions with Pergo Centro shall be governed by and construed in accordance
with the laws of the State of Colorado, without regard to conflict of law principles.
The parties agree that any dispute, claim, lawsuit, or legal proceeding arising out of or relating to these Terms, any
order, quote, invoice, product purchase, warranty claim, or business relationship with Pergo Centro shall be
brought exclusively in the state or federal courts located in Douglas County, Colorado, and each party irrevocably
submits to the jurisdiction of such courts.
The prevailing party in any action, suit, arbitration, collection proceeding, or other legal proceeding arising out of
or relating to these Terms shall be entitled to recover its reasonable attorney fees, court costs, expert witness fees,
collection costs, and other expenses incurred in enforcing its rights.
The customer shall be responsible for all costs of collection, including reasonable attorney fees, court costs,
collection agency fees, and related expenses incurred by Pergo Centro in collecting unpaid amounts.
The customer waives any objection to venue, jurisdiction, or forum non conveniens with respect to any action
brought in Douglas County, Colorado.
FREIGHT, DUTIES, TARIFFS AND TAXES
Freight, duties, tariffs, brokerage fees, taxes, and other import-related charges are estimates unless otherwise
stated in writing.
Actual charges may vary and shall remain the responsibility of the customer.
Pergo Centro is not responsible for governmental tariff changes, customs delays, inspections, port congestion,
carrier delays, or other events beyond its control.
DELIVERY AND INSPECTION
Customers shall inspect all products immediately upon delivery.
Visible damage must be noted on delivery receipts.
Claims for damage, shortages, or defects must be submitted in writing within twenty-one (21) days of delivery and
include supporting photographs.
Failure to report claims within twenty-one (21) days may result in denial of the claim.
INSTALLATION
Unless expressly agreed otherwise in writing:
• Installation is the responsibility of the customer or installing contractor.
• Customers are responsible for confirming site conditions, dimensions, utilities, permits, engineering
requirements, and code compliance.
Pergo Centro is not responsible for installation errors, improper site preparation, or contractor workmanship.
WARRANTY
Products are subject to the applicable manufacturer’s warranty.
Warranty remedies are limited to repair or replacement of defective components.
Warranty coverage does not include:
• Labor
• Freight
• Travel expenses
• Consequential damages
• Incidental damages
• Loss of use
• Lost profits
unless otherwise required by law
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Pergo Centro’s total liability shall not exceed the purchase price paid for
the product giving rise to the claim.
Under no circumstances shall Pergo Centro be liable for:
• Consequential damages
• Special damages
• Indirect damages
• Lost profits
• Business interruption
• Loss of use
FORCE MAJEURE
Pergo Centro shall not be liable for delays or failures resulting from circumstances beyond its reasonable control,
including but not limited to:
• Natural disasters
• Labor disputes
• Material shortages
• Transportation disruptions
• Government actions
• Tariffs
• Customs delays
• Acts of war
• Pandemic-related disruptions
ELECTRONIC COMMUNICATIONS
The parties agree that approvals, authorizations, and communications transmitted by email, electronic signature,
text message, or similar electronic means shall be deemed valid and enforceable.
